MERGERS, ACQUISITIONS AND DIVISIONS

We assist our clients in structuring, negotiating and closing mergers, acquisitions and divisions transactions as well as share and asset buy-sell operations, including restructuring public and/or private companies, in national or international transactions.

Our practice in mergers and acquisitions often requires participation of multiple professionals within our firm, including tax, antitrust, environmental, intellectual property and labor areas, as well as financial and international law, which makes us a one stop shop for our clients, all transactions we are involved in are treated in an efficient and cost-effective way, always taking into consideration the needs of our clients and the challenges each transaction represents.

Real Estate Law

Our Real Estate area provides advice in structuring, negotiating and implementing several operations and agreements on this matter, either in the commercial, industrial, residential and/or tourist sector.

We assist our clients throughout all different stages of the operation, including drafting preliminary agreements, as well as structuring legal vehicles through which the development of the real estate project is sought, drawing up and negotiating any agreement required during the execution of the project in order to successfully close the operation.

COMMERCIAL
CORPORATE LAW

This area is focused on carefully going over each phase of the incorporation process of commercial and/or civil companies, nonprofit associations and other existing legal entities, as well as presenting all required filings before competent authorities, including drafting essential legal documents required for proper operation and legal standing of such entities. Additionally, companies and associations, once incorporated, must perform and maintain precise registers of their administration, operations and structural changes during their legal existence.

Our commercial law practice focuses our corporate services on providing our clients with comprehensive legal advice to incorporate and operate their business according to their needs and business projects.

Intellectual Property

Our team offers a wide range of legal services focused on protecting the intellectual property of our clients.

Our services include contractual, registry and litigation services for the protection of different intellectual property rights, to name a few: trademarks, patents, commercial notices, copyrights, (artistic works and reservation of rights) and industrial secrets; as well as the implementation of complex strategies for the development of a business whose intellectual property is an essential part of its activities, including tax planning and management of the intangible assets of a company.

Venture Capital

Our Venture Capital practice is based upon the idea that starting a business from its conception and up to its operational stability entails various administrative, economic, financial and legal challenges, therefore, without the experience and resources of third parties, success of a startup company in the short, medium and long term is less likely. Today, the existence of VC funds and trusts dedicated to help startup companies with their cashflow needs, demands a structured and well drafted legal strategy in order to protect the vested interests of all parties involved, assuring the investor the best exit and cash out strategy, and the startup the best conditions for their stake.

In CAYPE Abogados, we have created a specific area to serve funds and investors in the investment of venture capital business, as well as entrepreneurs themselves, this being one of the areas with the greatest growth and of which we are most excited about.

Trusts

We have created this area in order to provide our clients with comprehensive legal advice on fiduciary matters, regarding the establishment, operation and execution of trusts of any nature. We believe that by applying our experience in all the service areas we offer, helps our fiduciary services to have a full picture of all possible scenarios and contingencies, thus providing adequate protection and advice to our clients. We also have extensive experience in merger and acquisition-related collateral, as well as trusts related to real estate industries, among others.

LABOR AND EMPLOYMENT
LAW

Our labor and employment law area is a solid team of lawyers with multiple capacities and specialties in labor and employment matters. We assist our clients on preventive advise and review of employment practices to ensure employer compliance with labor and social security regulations.

We represent our clients at labor claims before federal and local conciliation and arbitration boards, Federal or Local Judicial Branch, the pre-judicial conciliatory stage before the Federal Conciliation Labor Registry Center and Local Conciliation Centers, and preventive advise, and inspection support derived from labor inspections.

We provide advice on the design and establishment of labor structures to achieve labor policies, employment agreements, terminations and fringe benefit planning

Energy and
Infrastructure

We offer comprehensive legal counsel in projects regarding the electricity industry, renewable generation (solar, wind and hydroelectric energy), conventional (combined cycles, thermoelectric, cogeneration), energy infrastructure agreements, operation and management, energy purchase agreements of Legacy Projects or Qualified Supply within the Wholesale Electricity Market and Clean Energy Certificates. We offer advice in designing corporate and Project finance structures for energy projects. With regards to oil and gas, we assist our clients in obtaining permits for hydrocarbon, natural gas projects, supply and distribution, storing and transporting agreements, as well as reviewing and negotiating operating and managing agreements. We have a strategic alliance with experts on environmental matters with whom we work hand in hand on these issues.

BANKING AND
REGULATORY LAW

Our banking and regulatory law area offers the service of structuring and instrumentation of operations and contracts related to financial institutions in general.

CAYPE Abogados also provides legal advice for the constitution and obtaining of authorizations from the financial authorities, for the operation of financial intermediaries (including Fintech companies), as well as regarding their daily operations.

Within the obligation that companies have to establish procedures that ensure internal and external regulatory compliance in matters such as prevention of money laundering and financing of terrorism and protection of personal data, we provide legal advice on regulation and regulatory compliance (compliance), for the detection and management of non-compliance risks, as well as for the adequate establishment of action policies, thereby mitigating the risks of sanctions and material and / or reputational losses arising from such non-compliance.
